Typecel Terms of Service

Effective date: 4 November 2026

These terms govern your use of Typecel, operated by 株式会社Your Analyst ("Your Analyst, Inc.") ("Typecel", "we", "us"). Typecel includes Typecel for Markets at markets.typecel.io ("Markets"), your Typecel account at account.typecel.io, and any other Typecel product that links to these terms; together they are "the service". Section 15 adds terms that apply only to Markets. Where section 15 and the rest of these terms differ on a Markets matter, section 15 applies.

1. Acceptance

By creating an account or using Typecel, you agree to these terms. Parts of the service can be used without an account: anyone can read Markets' company pages, Official models with their checks and sources, and public views, comments and profiles. If you use the service without an account, these terms apply to that use, except the parts about accounts, plans and billing. If you are using Typecel on behalf of an organisation, you confirm you have authority to bind that organisation, and "you" means the organisation.

2. The service

Typecel is a service for building, reading and sharing financial models: a modelling language, a model editor, version history, sharing, export, and a built-in AI assistant on some plans. On Markets we also build and publish models of listed companies ourselves (section 15). Apart from those, we host and run the models you author; we do not author them for you.

3. Accounts

Sign-in is handled by our identity provider, WorkOS AuthKit, using email-based sign-in (such as sign-in links or passkeys). We never see or store a password for you.

  • You must provide an accurate email address that you control. It is how you sign in and how we reach you.
  • You are responsible for activity under your account, including anything the built-in assistant does at your request (see section 8).
  • Keep your sign-in email account secure; anyone who controls it can access your Typecel account.
  • One account, several products. Your Typecel account is the same account on every Typecel product, including Markets. Your profile and your usage balance (section 4) are shared across products. Plans, trials and subscriptions are held per product: a plan on one product does not give you a plan on another.
  • You must be at least 16 to have an account, and at least 18, or have the consent of a parent or guardian, to buy a paid plan or start a trial that registers a card.

4. Plans, billing, and what "free" means

Each Typecel product has its own plans: a free plan and paid plans. What each plan includes, and what it costs, is shown on that product's pricing page and at the point of purchase; plan names may change. Some paid plans add private models; on Markets, the plans that include private models, the AI assistant and Excel export are named on its pricing page. Where a product offers organisation workspaces, they are billed per member as described below.

On the free plan, and on any plan or trial that does not include private models, every model you create is publicly readable. On Markets, that includes every fork you make and so every view. A plan that includes private models may limit how many can be private at a time, as its pricing page shows. The limit counts the models that are private now, so making one public frees its place.

In plain terms:

  • Such a model is public: anyone who has the URL can open it without an account, and anyone, signed in or not, can find it where the service lists it, such as a company page, the Library or the Timeline on Markets. These plans offer no private or link-only option.
  • Anyone who can open a model sees all of it: the structure, the formulas, and every value. Not a summary: the whole model.
  • Copies: other users may fork a public model into their own account while it is public, and, where their plan includes export, export it for their own use.

The free plan is a sandbox for models built on public data. Do not put confidential, proprietary, or personal information into a public model. (Information a company itself published in its filings, used as it appears there, is not covered by this rule.) If you need private models, use a plan that includes them.

Fair use. Where a plan describes something as unlimited (on Markets, Pro's companies in the editor, Excel exports and private models), it is unlimited for one person's own use of the service. It does not cover automated or bulk use, sharing one account among several people, or reselling what the plan gives. If use goes far beyond one person's own use, we may limit it, and we tell you when we do.

Paid subscriptions are billed monthly through our payment provider, Stripe, and renew automatically each month until cancelled. Individual plans are priced per account. Organisation plans, where a product offers them, are priced per organisation plus per member; the member count is kept in sync with your organisation's membership, and adding or removing members adjusts your billing pro rata on the next invoice. Current pricing is shown on each product's pricing page and at the point of purchase. Where your subscription is billed through Stripe, you can cancel at any time through the billing portal (on Markets, from your account page); cancellation, or a move to a lower plan, takes effect at the end of the current billing period, and the lower plan starts after it. A move to a higher plan takes effect at once: a new monthly period starts that day at the new plan's price, less the unused part of the old plan's. Some plans are provisioned manually rather than through Stripe (for example, early design partners); those are managed by contacting support@typecel.io. Fees already paid are not refunded for partial periods, except where the law requires otherwise. We may change prices with at least 30 days' notice; a price change applies from your next billing period after the notice.

Trials. A product may offer a free trial of a paid plan, once per person (on Markets, also once per payment card). We may also offer trials through an invitation or campaign code, for the length and on the terms shown with the code. An invitation code is subject to the same once-per-person rule; an eligible campaign code can give a further trial after an earlier subscription or trial has ended, and each code can be redeemed once per account.

Trials from an invitation or campaign code give the plan the code names, for the length shown with it. Such a trial is a subscription in its trial period: if a payment card is on file when it ends, the subscription continues and the card is charged for the plan, unless you cancel before the trial ends (from your account page, through the billing portal). If no card is on file, it simply ends.

The Markets trial, when Markets offers it, lasts 7 days from when it starts and gives the plan shown when you start it, without private models or Excel export, within usage limits that keep the trial fair to everyone. We do not show every limit in advance; if you reach one, we tell you then. You register a payment card to start it, and a card can start only one Markets trial. During the Markets trial:

  • everything you create is public, and stays public after the trial; we tell you so before the trial starts. Private models start only when you pay for a plan that includes them;
  • we do not charge the card for the plan during the trial. When the trial ends, your paid subscription starts and the card is charged unless you cancel before then. We remind you before the trial ends. If you pay for a plan during the trial, its first monthly period starts that day and the rest of the trial is dropped;
  • when the Markets trial ends without a paid plan (you cancelled, or the first payment failed), your account is on the free plan: you keep what it allows and lose the trial's features, such as the AI assistant. What you made stays, and stays public. We never change a model's visibility because a trial ended.

We may refuse or end a trial used to get around these terms or the trial's limits.

When a plan ends or changes. If your paid plan ends, or you move to a plan that allows fewer private models than you have, you choose, for each private model over the new limit, whether to make it public or to delete it. Those you have not chosen for stay private for 15 days from the day the lower plan takes effect. If a payment for your plan fails, your account moves to the free plan that day, and the 15 days run from the failure. After the 15 days, we may delete the models still private over the limit, with their version history, as if you had deleted them yourself (Privacy Policy, section 5). We remind you before we delete them. Until then you can still make any of them public or delete it yourself.

The assistant's allowance. Plans and trials that include the built-in AI assistant include an allowance of its usage for each billing period (for a trial, for the trial), set per product and per plan. It is measured in US dollars of what the assistant's AI costs at our AI provider's list prices, and each plan's amount is shown on the product's pricing page. An allowance not used in its period does not carry over. Once it is used up, the assistant starts no new work until your next period begins, unless you hold a usage balance (below). On Markets, the web searches the assistant makes are part of its usage and count against the same allowance and balance. Reading web pages and saving documents as sources are not charged, but the number of searches, page reads and saved documents is limited, to keep the service fair; if the assistant reaches a limit, it tells you.

Extra usage (top-ups). A product may let you extend the assistant allowance with prepaid top-up packs. Markets does not offer them at present. Where a product offers them, these terms apply. Packs are priced in US dollars, and applicable tax is charged at the time of sale. A purchased pack is added to your account's usage balance, which the assistant draws down only after your plan's included allowance is used up. Each top-up is valid for six months from purchase: any amount still unused six months after you bought it expires and is forfeited, oldest purchase first. Top-ups are non-refundable, and your remaining usage balance is forfeited when your account is deleted. If your paid plan ends, your remaining balance is retained, and its six-month expiry clock keeps running, but it cannot be spent until you are on a plan that includes the assistant again. Your usage balance belongs to your account, not to one product: a top-up bought on one Typecel product can be spent by the assistant on any product whose plan includes it, and its six-month validity runs from purchase however and wherever it is spent.

5. Your content

You own your content. Everything you author on the service is yours: model structure, formulas, values and names, and on Markets your assumptions, the titles and text of your views, your comments and your profile. What you did not author stays its owner's. When you fork an Official, the structure, the reported figures and the sources you start from remain ours or our licensors'; you own what you add or change.

You grant us a licence to host, store, reproduce, display, and transmit your content as needed to run the service. For content you make public on Markets (public views and the models behind them, comments, your profile), the licence also covers: showing it to anyone, with or without an account; listing it on company pages, in the Library, the Timeline and on your profile page; quoting it in notifications to the people it concerns; showing its title and text in share cards when a link to it is shared on other sites; and sending it to our AI provider when another user's assistant works on that model or company, only to answer that request. The licence is worldwide, non-exclusive and royalty-free. The licence ends when you delete the content, except that it continues while deleted content can still be restored at your request and for the short time access already granted to it lasts (Privacy Policy, section 5); the parts of it that depend on the content being public (showing it to anyone, listing it, share cards, and sending it to our AI provider for other users' assistant requests) end when you make the content private. In either case, forks and exports other users made while it was public remain theirs, replies others wrote to your comments remain theirs, and residual copies may persist briefly in backups.

You also let other users read your public content in full and comment on it, and, for public models and views, fork them and, where their plan includes export, export them for their own analysis. They may not republish your content as their own or sell it.

You are responsible for your content: that you have the right to upload it, and that it does not violate the law or these terms.

6. Acceptable use

Do not:

  • use Typecel for anything unlawful, or upload content you have no right to share (including others' confidential or personal data);
  • probe, overload, or disrupt the service: no denial-of-service, no bulk scraping of models, company pages or listings, no attempts to bypass access controls or rate limits;
  • misrepresent who you are or who a model belongs to;
  • resell or white-label the service without our written agreement;
  • copy, scrape or redistribute Official models, company pages, or third-party data shown on the service (such as filings and market prices) beyond your own use and the service's own features (section 15.3), remove their attribution, or use them to build a competing data set;
  • post information you know or suspect to be false or misleading about a listed company or a security, or use the service to move a price or to coordinate others to buy or sell (Japan's Financial Instruments and Exchange Act prohibits spreading rumours and market manipulation, Art. 158 and 159);
  • post material non-public information about a listed company, including information covered by the insider-trading rules (Financial Instruments and Exchange Act Art. 166 and 167), or anything you received under a duty of confidence;
  • present yourself, in a view, comment or profile, as licensed to give investment advice unless you are, or use the service to give individual investment advice for payment;
  • make or keep a public view, or post a comment, about a security in which you, or anyone you act for, hold a position, without saying so in its text;
  • harass, threaten or impersonate other people, or post another person's personal data without the right to (information a company itself published in its filings, used as it appears there, is not covered by this rule).

We may throttle or limit API or other traffic to protect the service. Such limits are an abuse control, not a paid feature; sustained attempts to evade them are a breach of these terms.

Export controls and sanctions: you may not access or use the service if you are located in, ordinarily resident in, or organized under the laws of any country or region subject to comprehensive sanctions or embargoes under the laws of Japan, the United States, the European Union, or the United Nations, or if you are listed on - or owned or controlled by anyone listed on - any applicable government sanctions or restricted-party list. Do not use the service on behalf of any such person or entity, and do not export, re-export, or provide the service or any related technology in violation of applicable export-control or sanctions laws. By using the service, you represent that none of the above applies to you.

7. Public content, moderation, and listing

  • Reporting. You can report a public model, view, comment or profile that breaks these terms or the law, by writing to support@typecel.io with its link, or with the report button where its page has one. We review reports and may hide, delist or remove content, or restrict the account behind it.
  • Editorial listing. Some listings are chosen by us, such as featured views and the suggestions in Markets' Timeline. We may list or feature your public content there. You can ask us to remove it from a curated listing; that does not make it private.
  • Owner veto. You can remove your model from the curated listing at any time. Delisting does not make the model private; its visibility setting still governs who can open it.
  • Search engines. On Markets, company pages and their Official models are published for search engines and listed in our sitemap. Profile pages are public and search engines may index them. Pages of individual views are marked noindex and are not submitted, but they carry a share card, so a shared link shows the view's title and the start of its text. On other products, model pages are marked noindex and we do not submit them to search engines.
  • We may remove content or restrict accounts that pose a legal, security, or abuse risk, and will tell you when we do unless the law prevents it.

8. The AI assistant

The built-in assistant. Plans and trials that include it come with an optional built-in AI assistant. On Markets it is available only when you are signed in, and it works on your own forks. It may search the web, read pages and capture documents to cite; its web searches count as part of its usage, and its searches, page reads and captures are limited (section 4, "The assistant's allowance"). It acts as you, with exactly your permissions: everything it creates, edits, or deletes is your action under these terms. Changes it makes are marked as the assistant's in the model's version history, which anyone who can read the model can see. Its usage is metered against your plan's included assistant allowance and, once that is used up, against any prepaid usage balance you have purchased (see section 4, "Extra usage"). Conversations are processed by our AI provider (see the Privacy Policy). Assistant output is not warranted to be correct, and it is not investment advice (section 10): it is not designed to tell you whether to buy, sell or hold a security, or what a security's price will be, and you must not rely on it for that. You are responsible for reviewing what it builds.

9. Termination

You can stop using Typecel and delete your account at any time. We may suspend or terminate accounts that materially breach these terms, create legal or security risk, or abuse the service; where practical we will warn you first. When you delete your account, we remove your projects from the service at once; the Privacy Policy (section 5) says what is erased from storage, when, and what is kept. On Markets, your views go with their projects, and your comments, likes, follows, saves, lists and requests are removed; where someone replied to a comment of yours, the reply stays and your comment shows as removed. Until account deletion reaches Markets automatically, we remove these within 30 days of your asking at support@typecel.io. Forks and exports other users made of your public views while they were public remain theirs.

10. Disclaimers - not investment advice

Typecel is a modelling tool, and Markets is a place to read and discuss models of listed companies. Models other users make public are theirs; Official models are built by us from public sources (section 15.2).

Nothing on the service is financial, investment, accounting, tax or legal advice, or a recommendation or solicitation to buy, sell or hold any security. That includes Official models, scenarios, valuations and valuation ranges, any comparison with a market price, views, comments, forecasts and their scores, the built-in assistant's answers, and any listing or featured placement. None of it takes account of your circumstances, objectives or finances. Your Analyst is not registered under Japan's Financial Instruments and Exchange Act as a financial instruments business operator for investment advisory and agency business (投資助言・代理業), or as an investment adviser anywhere else, and does not give investment advice. Listing or featuring a model is not an endorsement of its correctness. Make your own decisions, and consult a licensed professional if you need advice. You are responsible for the decisions you make using any model, including your own.

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-interruption. Typecel is an early-stage service; we do not currently offer an uptime SLA. Official models and third-party data may contain errors, may be out of date, and may change or be withdrawn without notice.

11. Limitation of liability

To the maximum extent the law allows, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. Our total liability for all claims arising out of the service is capped at the amount you paid us in the twelve months before the claim, or, if you paid nothing, JPY 10,000. Nothing in these terms excludes liability that cannot be excluded by law (including, where applicable, liability for wilful misconduct or gross negligence).

12. Changes to these terms

We may update these terms as the service evolves. For material changes we will give notice (by email or in-product, and on the service's pages) before they take effect. Continuing to use Typecel after the effective date means you accept the updated terms; if you do not, stop using the service and delete your account.

13. Governing law

These terms are governed by the laws of Japan. Any dispute arising out of or relating to these terms or the service is subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

14. Contact

Questions about these terms: support@typecel.io.

15. Typecel for Markets

15.1 Reading and trying without an account. You do not need an account to read Markets. Where a page lets you change an assumption and see the result, the change stays in your browser: nothing is saved and nothing is sent to us as your content. To keep a change, you need an account (section 15.6).

15.2 Official models. An Official model ("Official") is the model of a listed company that we build and maintain from the company's public filings and other public sources, and publish on its company page. Officials are always public.

We build Officials with automated tools, including AI, and check each version before we publish it. The checks shown on a page test the model's internal consistency (for example, that the balance sheet balances and the cash flow ends at balance-sheet cash) and that reported figures match the source they cite. They do not test whether a forecast, scenario or valuation is right. Reported figures link to the place in the source they were taken from. Forecasts, scenarios and valuations in an Official illustrate the assumptions stated beside them; they are not predictions and not our opinion of what a security is worth.

We aim to update an Official after the company reports, but we do not promise when, or that any company will be covered or kept. We may correct, replace, or take an Official off view at any time, including while we review a new version.

15.3 Sources and third-party data. Officials and company pages use documents companies publish themselves, taken from their own investor-relations sites first and otherwise from public disclosure systems such as EDINET (Financial Services Agency of Japan), TDnet (Japan Exchange Group) and EDGAR (US Securities and Exchange Commission), and, where shown, market data from third-party providers. That information belongs to its publishers and providers. We show it with attribution and on the terms they make it available on, and we do not warrant it. Market data may be delayed; the page says by how much. You may use this information for your own analysis, including through the service's own features: forking, sharing views, opening sources and, where your plan includes it, export. Beyond those, you may not copy, redistribute or resell it, and a provider's terms shown beside its data also apply to you.

15.4 Forks and views. A fork is your own copy of a model, made from an Official or from another user's public view. A view is how others see your fork, with its title and, if you like, your own text: while it is public, a fork of an Official shows on the company's page, and a fork of another user's view shows on your profile. There is no separate step to publish it: a fork of a public model is public, and a view, from the moment you make it, unless your plan includes private models and you make it private. Public views can be read by anyone in full, and other users can fork them, like them, save them and comment on them. A view is your opinion, published under your display name and handle; do not present it as ours, as an Official, or as advice.

When we publish a new version of an Official, your fork does not change by itself. If you forked the Official directly, or saved the company, we tell you, and you can start again from the new version; a fork of another user's view is not told.

15.5 Comments, likes, follows and requests. On any model the public can read, comments are public, shown with your display name and picture. When you like or fork a view, comment or reply, or follow someone, the person it concerns is told it was you. Other people see your comments, but only the counts of likes, forks and follows. Saves and lists are private to you. When you ask us to add a company, we record the request and tell you if we publish that company; a request is not a promise to cover it. Only people take part: the AI assistant does not comment, like or follow. You can have your own comments deleted at any time: write to support@typecel.io with the comment's link, or delete it on its page where the page offers that.

15.6 Plans on Markets. Reading is free for everyone. With a free account you can save forks, which are public. The AI assistant and Excel export come with the plans and trials that include them, and private models with the plans that include them, as the pricing page shows; the Markets trial never includes private models or Excel export (section 4, Trials). Where your plan includes export, you can export your own models and other users' public views, for your own analysis only (section 5).

15.7 Reporting errors in an Official. If a reported figure in an Official does not match its source, you can report it by writing to support@typecel.io with a link to the company page, or with the report button where the page has one. A report is a pointer: we check it against the source ourselves and correct the Official if it is wrong. If your report leads to a correction, we may credit you by your handle on the company page or on your profile. Credit is not payment. You let us use what your report says to correct and improve Officials, with no further obligation to you. Assumptions and forecasts are opinions, not errors; put them in your own fork, where they show as your view.

15.8 Companies. A company that claims its page, and anything it posts there, will be governed by separate terms that we publish before that feature opens.
